By accessing or using TaxGround™ (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not access or use the Platform.

TaxGround™ is owned and operated by Fast Close AI Inc. ("Company," "we," "us," or "our").

2. Nature of the Platform

TaxGround™ is a professional tax research and strategy support platform designed for use by tax professionals and advisors.

The Platform provides:

• Research summaries
• Analytical outputs
• Citations to authoritative tax sources

The Platform does not provide tax advice, legal advice, accounting advice, or investment advice.

3. Intended Users

TaxGround™ is intended solely for:

• Certified Public Accountants
• Tax attorneys
• Professional tax advisors
• Other qualified professionals

The Platform is not intended for consumer or personal use.

4. No Professional Relationship

Use of the Platform does not create:

• A CPA-client relationship
• An attorney-client relationship
• Any fiduciary relationship

Fast Close AI Inc. acts solely as a software provider.

5. No-Reliance Acknowledgment

Users expressly acknowledge and agree that:

• Platform outputs are not definitive tax conclusions
• Outputs may omit facts, assumptions, or jurisdiction-specific considerations
• Outputs are not a substitute for independent research, professional review, or legal or accounting advice

You agree that you will not rely solely on TaxGround™ outputs in making tax positions, filings, or representations.

6. User Responsibilities

You acknowledge and agree that:

• You are solely responsible for how you interpret and apply any information provided
• You will independently verify conclusions before use
• You will exercise your own professional judgment

7. Intellectual Property

All Platform content, layout, templates, and original materials are owned by Fast Close AI Inc. or its licensors and are protected by applicable intellectual property laws.

IRS publications, Treasury Regulations, and other public materials remain the property of their respective owners.

8. Limitation of Liability

To the maximum extent permitted by law, Fast Close AI Inc. shall not be liable for any:

• Direct damages
• Indirect damages
• Incidental damages
• Consequential damages
• Lost profits
• Penalties, interest, or tax liabilities

arising from or related to use of the Platform, reliance on Platform outputs, errors, omissions, or interpretations, or inability to access the Platform.

Total liability, if any, shall not exceed the amount paid by the user for Platform access during the twelve (12) months preceding the claim.

9. Modification of Terms

We reserve the right to modify these Terms at any time. Continued use constitutes acceptance of updated Terms.
